TERMS AND CONDITIONS OF USE OF THE SLAB PLATFORM DEMO

FirstIdentification and acceptance

1.1. The Platform is owned and operated by SLAB SpA, a Chilean simplified stock company (sociedad por acciones), Chilean tax ID (RUT) No. 77.074.113-0, domiciled at El Convento No. 877, Las Condes, Santiago, Metropolitan Region, Chile (“SLAB”).

1.2. These Terms and Conditions of Use (the “Terms”) govern access to and use of the demonstration version of the Platform (the “Demo”) by any person who registers for it (the “Client”). The Client accepts these Terms by ticking the corresponding box and pressing the “Accept and continue” button, which constitutes an express expression of consent by electronic means, valid under Chilean Law No. 19,799.

1.3. Before accepting, the Client may read, download and print these Terms.

SecondDefinitions

For purposes of these Terms:

  • “Platform” or “SLAB Platform” means SLAB’s proprietary software system, accessible via web and/or mobile application, designed for the management, monitoring and analysis of sports performance and health, including its algorithms, models, interfaces, databases, documentation and updates.
  • “Demo” means the demonstration version of the Platform that SLAB makes available to the Client free of charge and on a temporary basis, so that the Client may get to know and evaluate its features.
  • “Sample Data” means the fictitious data preloaded by SLAB in the Demo, which does not correspond to real persons and whose sole purpose is to illustrate how the Platform works.
  • “Uploaded Data” means the data that the Client voluntarily decides to upload to the Demo to test its features, whether its own or that of third parties.
  • “Demo Period” means the period of thirty (30) calendar days from the acceptance of these Terms, or such other period as SLAB may notify to the Client.
  • “Aggregated Data” means information and statistics derived from the use of the Demo that SLAB has anonymized and consolidated so that they do not identify, directly or indirectly, the Client or any natural person, and do not allow re-identification.
  • “Privacy Policy” means SLAB’s Privacy Policy for the Demo, which forms an integral part of these Terms.

ThirdPurpose and nature of the demo

3.1. SLAB grants the Client free and temporary access to the Demo so that the Client may get to know and evaluate the Platform’s features.

3.2. The Demo works with Sample Data. In addition, the Client may upload Uploaded Data to test the Platform with real information, under the terms of clause Sixth Bis. Uploaded Data is temporary and will be automatically deleted at the end of the Demo Period.

3.3. The analyses, indicators and reports shown by the Demo are illustrative and are intended solely for evaluating the Platform. They do not constitute a medical diagnosis, prescription or treatment, and do not replace the assessment of a healthcare professional.

3.4. The Demo may contain limited, in-development or test-stage features, which SLAB may modify, add or withdraw at any time. Access to the Demo does not obligate the Client or SLAB to enter into any contract. Any subsequent engagement of the Platform will be governed by the contract that the parties may sign for that purpose.

FourthFree of charge

4.1. Access to and use of the Demo is completely free of charge. SLAB will not charge the Client any amount for the Demo nor request any payment method to access it.

4.2. At the end of the Demo Period, access will end automatically, without any renewal, conversion to a paid plan or charge. If the Client wishes to use the Platform, the Client must expressly contract it with SLAB.

FifthRegistration, account and capacity

5.1. To access the Demo, the Client must register by providing its name, email address, the club or organization to which it belongs and its role therein, with truthful, accurate and up-to-date information.

5.2. The Demo is intended exclusively for persons over 18 years of age. By registering, the Client declares under its own responsibility that it is of legal age. If SLAB becomes aware that a Client is a minor, SLAB will close the account and delete the data without delay.

5.3. The account is personal and non-transferable. The Client must keep its credentials confidential and immediately notify SLAB, at contacto@s-lab.cl, of any unauthorized use of its account.

SixthClient obligations and prohibited uses

6.1. The Client undertakes to use the Demo in good faith, for lawful purposes and in accordance with these Terms. The following is expressly prohibited:

  • Reverse engineering, decompiling, copying, sublicensing or creating competing products based on the Demo or the Platform.
  • Extracting information from the Demo by automated means (scraping) or breaching its security measures.
  • Introducing viruses or malicious code, or taking actions that affect the availability or integrity of the Demo.
  • Using the Demo for unlawful or fraudulent purposes or purposes contrary to morality and good customs.

6.2. SLAB may suspend or cancel the access of any Client that breaches this clause.

Sixth bisData uploaded by the client

6 bis.1. Recommendation. SLAB recommends uploading anonymized or pseudonymized data, without the names or other identifiers of athletes.

6 bis.2. Client representations. Before uploading any Uploaded Data, the Client represents and warrants that: (a) it has the authorization of the data subjects or another sufficient legal basis to provide such data to SLAB, including the express consent required by law for health data or other sensitive data; (b) it will not upload data of persons under 18 years of age; and (c) the data has been lawfully obtained.

6 bis.3. SLAB’s role. With respect to third-party Uploaded Data, the Client acts as data controller and SLAB as data processor, processing it on the Client’s behalf and for the sole purpose of showing the Client how the Platform works.

6 bis.4. Limited use. SLAB will not use Uploaded Data for any other purpose: it will not add it to its CRM, use it to generate Aggregated Data or to train its algorithms or models, or disclose it to third parties, except to its infrastructure providers acting as sub-processors.

6 bis.5. Temporary nature. Uploaded Data will be automatically and permanently deleted at the end of the Demo Period, or earlier if the Client closes its account or so requests. The Client must keep a copy of any information it needs, as it will not be possible to recover it. If, before the end of the Demo Period, the Client contracts the Platform, it may request in writing that its data be transferred to its definitive account.

6 bis.6. Indemnity. The Client shall hold SLAB harmless from any claim, fine or penalty arising from the lack of authorization of the data subjects or from the unlawfulness of the Uploaded Data.

SeventhConfidentiality

Since the Demo may include features not yet commercially released, the Client undertakes to keep confidential the non-public information about the Platform that it accesses through the Demo (features under development, methodologies, designs and technical documentation), and not to disclose it to third parties or use it for purposes other than evaluating the Platform.

EighthIntellectual property

8.1. SLAB’s ownership. SLAB retains all intellectual and industrial property rights over the Platform, the Demo and the Sample Data, including software, algorithms, models, source code, methodologies, designs, trademarks and report formats. The Client receives only a personal, limited, free, non-exclusive, non-transferable and revocable license to use the Demo during the Demo Period.

8.2. Aggregated Data. SLAB may generate Aggregated Data from the use of the Demo, excluding Uploaded Data, over which it will have exclusive ownership and which it may use to improve the Platform, develop new products and prepare statistics.

8.3. Feedback. Any suggestions, comments or bug reports that the Client provides about the Demo may be freely used by SLAB, without any obligation of compensation.

NinthPersonal data protection

9.1. The processing of the Client’s personal data is governed by the Privacy Policy, available at https://s-lab.cl/en/privacidad/, which forms an integral part of these Terms.

9.2. The Client is informed that SLAB will record its activity within the Demo and will add it, together with its registration data, to SLAB’s internal customer management record (the “CRM”), in order to understand its interest in the Platform, to contact it to follow up on the Demo and to offer it the engagement of the Platform. The Client may object to this processing at any time, in accordance with the Privacy Policy.

TenthAvailability of the demo

10.1. The Demo is provided “as is” and “as available”. SLAB will use reasonable efforts to keep it operational, but does not guarantee service levels or continuous availability, and may temporarily interrupt it for maintenance, updates or improvements.

10.2. SLAB shall not be liable for interruptions resulting from Force Majeure or Act of God (caso fortuito o fuerza mayor), under the terms of Article 45 of the Chilean Civil Code, including widespread failures of telecommunications networks, the internet or power supply, large-scale cyberattacks, or failures of infrastructure providers beyond its reasonable control.

EleventhLiability

11.1. Given the free, temporary and illustrative nature of the Demo, SLAB shall not be liable for decisions that the Client or third parties make based on the results shown by the Demo, nor for the loss of Uploaded Data once deleted in accordance with clause Sixth Bis.

11.2. Nothing in these Terms limits SLAB’s liability for willful misconduct or gross negligence (dolo o culpa grave).

TwelfthTerm and termination

12.1. These Terms apply from their acceptance until the end of the Demo Period. SLAB may terminate the Demo early, or extend it, by notice to the Client.

12.2. The Client may close its account at any time by writing to contacto@s-lab.cl.

12.3. Once the Demo has ended, Uploaded Data will be deleted in accordance with clause Sixth Bis, and the Client’s personal data will be retained and deleted in accordance with the Privacy Policy.

ThirteenthAmendments

SLAB may amend these Terms to adapt them to legal or technical changes or changes to the Demo. Amendments will be notified to the Client by email and on the Platform before they take effect. Material amendments will require a new express acceptance by the Client. If the Client does not accept them, it may close its account in accordance with clause Twelfth.

FourteenthCommunications

Communications between SLAB and the Client will be made to the email address registered by the Client and, in the case of SLAB, to contacto@s-lab.cl or to its address at El Convento No. 877, Las Condes, Santiago, Chile.

FifteenthGoverning law and dispute resolution

15.1. These Terms are governed by the laws of the Republic of Chile.

15.2. Complaints regarding personal data protection may be filed with the Personal Data Protection Agency (Agencia de Protección de Datos Personales).

SixteenthGeneral provisions

16.1. Severability. The invalidity of any provision shall not affect the validity of the remaining provisions.

16.2. Assignment. The Client may not assign its account or these Terms. SLAB may assign them in the context of a reorganization, merger or sale of its business, upon notice to the Client and maintaining the safeguards of the Privacy Policy.

16.3. Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between SLAB and the Client regarding the Demo.

16.4. Language. This English version is provided for convenience. In case of any discrepancy between the English and the Spanish version, the Spanish version shall prevail.
